Oxygen’s Running Skirts Sweepstakes (the “Sweepstakes”)

SWEEPSTAKES DURATION

The Sweepstakes starts on Sunday, July 15, 2007 at 12:01 AM ET and ends on Wednesday, August 15, 2007 at 11:59 PM ET
(the “Sweepstakes Period”).

PRIZES

There are ten (10) prizes available to be won in this Sweepstakes:

Oxygen’s Running Skirts Sweepstakes

One (1) of ten (10) Running Skirts to be won.

Odds of winning a Prize in this Sweepstakes depend upon the number of eligible entries received for each draw.

HOW TO ENTER

To enter the Oxygen’s Running Skirt Sweepstakes, print your full name, date of birth (day/month/year), street address and unit number (if applicable), city, state or province, zip or postal code, e-mail address, daytime telephone number and area code on a plain white piece of paper and mail it in an envelope bearing sufficient postage to: Oxygen’s Running Skirt Sweepstakes, Oxygen Magazine, 5775 McLaughlin Road, Mississauga, Ontario, L5R 3P7.

Limit of one (1) entry per person and/or household. Mechanically reproduced entries will not be accepted. Oxygen Magazine (the “Sponsor”), their affiliates, subsidiaries, advertising and promotional agencies, their respective directors, officers, employees and assigns, is not responsible for illegible, lost or stolen ballots.

ELIGIBILITY

This Sweepstakes is open to legal residents of the 48 contiguous United States, the District of Columbia and Canada, excluding residents of the province of Quebec, and the states of New York, Rhode Island and Florida. Residents of the United States of America must be 18 years old or older and residents of Canada must have reached the age of majority in the province of residence at the time of this Sweepstakes in order to participate.

You are not eligible if you are an employee, representative or agent of the Sponsor, or any of Sponsor’s affiliates, subsidiaries, parent or related companies, advertising or promotional agencies or a member of the immediate family or household of any of the above persons.

Entries will be accepted between Sunday, July 15, 2007 and Wednesday, August 15, 2007. To be eligible, entries must be postmarked by Thursday, August 15, 2007 and will be accepted until Friday, August 24, 2007 only.

The Sponsor assumes no responsibility for lost, late, stolen, misdirected, mutilated, incomplete or illegible entries, as well as any printing, administrative or other error of any kind in connection with this Sweepstakes. The Sponsor assumes no responsibility or liability resulting from user attempts to participate in this Sweepstakes or, if required, download any information necessary to participate in this Sweepstakes.

SELECTION PROCESS

GRAND PRIZE DRAWS

On Friday, August 31, 2007, at approximately 2:00 PM ET, ten (10) selected entrant(s) will be randomly drawn from all eligible entries received and will be eligible to win one (1) of ten (10) Running Skirts available in this Sweepstakes.

In order to be declared the winner of a Prize, a selected entrant will be required to execute and return an Affidavit of Eligibility, a Liability Release and a Publicity Release (the “Affidavit/Release”), except where prohibited, or, if a Canadian resident, a Declaration and Release (the “Declaration/Release”). If a selected entrant is a Canadian resident, the entrant must also correctly answer, unaided, a time-limited mathematical skill-testing question, without assistance or electronic aid, to be administered at a mutually convenient time over the telephone or by mail. There will be only one opportunity to answer the mathematical skill-testing question. An eligible entrant who provides an incorrect answer will no longer be eligible to win a Prize in this Sweepstakes. If necessary, additional draws will be conducted and the procedure outlined above will be followed until the Prizes in this Sweepstakes have been awarded.

The selected entrants will be contacted by telephone, mail or e-mail. In the event a selected entrant cannot be contacted within 14 days of the selection date and time, another selected entrant will be chosen in accordance with these rules.

All federal, state, provincial, local and other tax liabilities, including, but not limited to, sales and use taxes, excise taxes, income and US withholding taxes, customs duties, fees and like amounts in connection with a Prize will be the sole responsibility of each Prize Winner.

ENTRIES

All entries become the property of the Sponsor and none shall be returned. All entries are subject to verification by the Sponsor. By entering this Sweepstakes, entrants indicate their consent to their personal information being stored, used and processed for purposes concerning this Sweepstakes by the Sponsor.

RIGHTS RESERVED

The Prizes available in this Contest must be accepted as awarded and are not transferable and no substitutions will be made, whether in cash or otherwise, except at the Sponsor’s discretion. The Sponsor reserves the right to substitute a Prize of equivalent or greater value in the event that, for reasons beyond its control, the Sponsor are unable to award the Grand Prize as described in these rules.

In the event that the Sweepstakes is not capable of running as planned for any reason, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, including any network server or hardware failure, errors in programming, printing, distribution or production errors or any other errors or other causes of any nature whatsoever beyond the reasonable control of the Sponsor and/or their agencies which corrupt or affect the administration, security, integrity or proper conduct of this Sweepstakes, the Sponsor reserves the right to terminate or suspend the Sweepstakes, in whole or in part, or modify it in any way at the Sponsor’s sole discretion, without advance notice.

The Sponsor reserves the right to disqualify any individual that it finds to be in violation of these Official Sweepstakes Rules and Regulations or tampering with the Sweepstakes process. The Sponsor reserves the right to refuse an entry from a person whose eligibility is in question or who has been disqualified or is otherwise ineligible to participate. Entries generated by script, macro, robotic, programmed, or any other automated means are prohibited and will be disqualified. Any attempt by anyone to deliberately undermine the legitimate operation of this Sweepstakes is in violation of criminal and civil laws and the Sponsor reserves the right to seek damages or other legal remedy to the fullest extent permitted by law.

GENERAL

By participating in this Contest, entrants agree to comply with the Official Sweepstakes Rules and Regulations and with the decisions of the Sponsor, which are irrevocable and shall be legally binding in all instances.

By participating in this Sweepstakes, the Prize Winners agree to sign a standard Affidavit/Release, if a US resident, or a Declaration/Release, if a Canadian resident, releasing the Sponsor, their affiliates and respective advertising and promotional agencies from any liability in connection with this Sweepstakes or the Prizes awarded, except where prohibited by law.

By participating in this Sweepstakes, all entrants agree to the use of their name, address (city and province or state only), photo, and/or image on videotape for publicity purposes relating exclusively to this Sweepstakes without compensation.

By accepting a Prize in this Sweepstakes, the Prize Winners agree to hold the Sponsor, their affiliates, subsidiaries, advertising and promotional agencies, their respective directors, officers, employees and assigns, harmless from and against any and all claims and liability arising out of or in any way connected with the operation of this Sweepstakes and use of a Prize. The Prize Winners assume all liability for any injury or damage caused, or claimed to be caused, by participation in this Sweepstakes or use or redemption of the Prize.

This Sweepstakes and the terms and conditions contained in these Official Contest Rules and Regulations, shall be exclusively governed by and construed in accordance with the laws of the Province of Ontario, Canada and the federal laws of Canada and the United States of America applicable therein. Any dispute arising hereunder shall be adjudicated solely in the applicable court in Toronto, Ontario, Canada.

This Sweepstakes is subject to all applicable federal, state, provincial and municipal laws and regulations. Void where prohibited.
